Linux guest process on Host take constant 10% CPU

Here's my setup:

Host:  Mandriva2006, P4 1.6G, 1G ram, running Beta2

Guest1:  W2K server, 256M ram, DEBUG set to OFF in vmx

Guest2:  Mandriva2006, 128M ram, DEBUG set to off in vmx

Here's my problem.  Guest2 (linux) reports constant 10% busy in MUI although HTOP reports no "cloggin" process in the guest OS.

If I look at HTOP in my HOST, I do see two "/usr/bin/vmware/bin/vmware-vmx" process being stuck at 10%.

Both Gues1 and Guest2 have VM-Tools install.  I dont know where to look anymore because as I said, my guest OS 2 does not show any process jamming.

Any clues ???
