Linux on Linux ==> Linux on Windows Boot Panic

I was sent a VM workstation Red Hat Linux system created on a host Linux installation of VMWare Server. I am running VMWare under Windows 2000 on my desktop and under Windows XP on my laptop.

 

I had been running VMWare Workstation 5.5.1 on both systems.  Thinking that the problem might be moving a Server created VM to Workstation, I uninstalled Workstation and replaced it with Server Beta 3 under XP.  I stopped IIS before installing VMWare Server Beta 3.

 

I loaded the Linux guest on my system, initiated it, answered "always keep" to SID prompt, but the boot panic'd with the totally unhelpful message:

 

Kernel panic: fatal exception

In idle task - not syncing

 

This is the identical message I got when trying to boot up under Workstation.

 

The VM  is a plain vanilla configuration, one SCSI disk, bridged ethernet, 256 MB memory.

 

Any ideas? Any diagnostics I should try to capture?
