I have a RHEL ES 4.3 install, with a W2K3 VM running, and everything has been working fine until this morning when the windows vm never stops rebooting. The system starts up, and usually gets to preparing network connections (sometimes a little further) and then reboots. Even in safe mode, when I'm in the middle of typing in the password, it reboots, so I don't believe this is a windows issue.
Looking at the vmware.log file, I see "CPU reset: soft" and before that lots of messages about the toolbox. Here are the messages which are repeated multiple times before the CPU reset:
